Terms of Service

1. Who this is between

This agreement is between you (or the business you are signing up on behalf of) and FluxDM LLC, a Delaware limited liability company. Creating an account or using the service means you accept it. If you are agreeing on behalf of a company, you are confirming you are allowed to.

2. What the service is

FluxDM is a shared inbox that connects to messaging channels you already use — WhatsApp, Instagram, Messenger, Telegram, TikTok, X, email, SMS and our web chat widget — collects those conversations in one place, resolves a customer’s identities into a single profile, and sends your replies back out on the right channel.

We add and change features. If we remove something you depend on, we will tell you.

3. Your account

Keep your login credentials to yourself. You are responsible for what happens under your account and for the people you invite to your workspace. If you think someone has got in who shouldn’t have, tell us quickly.

You must be at least 16 and using FluxDM for a business or organisation.

4. The channels you connect, and their rules

This is the section people skip and then get surprised by, so it is deliberately blunt.

Each channel you connect belongs to someone else. WhatsApp, Instagram and Messenger are Meta’s. Telegram, TikTok and X are theirs. SMS runs through carriers. When you connect one, you are also agreeing to that platform’s own terms and policies, and those rules apply to what you send.

• Platforms impose limits we do not control. Meta, for example, only allows free-form replies within a set window after a customer’s last message, and requires pre-approved templates outside it.
• A platform can suspend or restrict your account, your phone number or your business for reasons of its own. We cannot overrule that and we cannot restore access on their behalf.
• You are responsible for having a lawful basis to message the people you message, including consent where marketing rules require it. Buying a contact list and blasting it through FluxDM is a good way to lose your WhatsApp number, and it is not something we will help with.
• Where a platform charges for message delivery, that cost is yours. We pass those charges through at cost and do not add a margin to them.

5. Plans and payment

Paid plans are billed in advance through Stripe on the cycle shown at checkout, and renew automatically until you cancel. Current plans and prices are on our pricing page.

You can cancel at any time from your billing settings. Cancelling stops the next renewal and you keep access until the end of the period you have paid for. We do not pro-rate part-months. If we change prices, we will tell you before it applies to your renewal.

Charges from the platforms themselves — Meta’s per-message fees, SMS costs — are separate from your subscription, as described in section 4.

6. Acceptable use

You agree not to use FluxDM to:

• Send unlawful, harassing, deceptive or fraudulent messages, or anything that would be illegal where it lands.
• Send bulk unsolicited messages, or message people who have not agreed to hear from you where the law requires their agreement.
• Break into, overload, probe or reverse-engineer the service, or work around limits and access controls.
• Impersonate someone else, or misrepresent who your business is.
• Resell or white-label the service without a written agreement with us.
• Upload malware, or content you have no right to send.

If something you are doing puts the service, another customer or a channel connection at risk, we may suspend it. Where we can give notice first we will.

7. Availability

We work hard to keep FluxDM up, and we will tell you about planned maintenance where we can. We do not currently offer a contractual uptime commitment or service credits, and we would rather say that plainly than publish a number we cannot stand behind. If you need one in writing, contact us and we will talk about what is realistic.

Parts of the service depend on platforms we do not run. If Meta’s API is down, your WhatsApp messages will not move, and that is outside what we can fix.

8. Your data and ours

Your data stays yours. That includes your customers’ messages, the profiles your team builds, and anything you upload. You grant us only the permission we need to run the service for you: to store it, process it, transmit it to the channels you have connected, and show it to the people you have invited.

How we handle it is set out in our privacy policy, and where we process personal data on your behalf, in our data processing agreement. The software, design and everything else that makes up FluxDM stays ours.

You can export your customer data from the product. If you need a full export on the way out, ask us and we will help.

9. Ending it

You can stop using FluxDM whenever you like and close your account by contacting us. We may suspend or end your account if you materially break this agreement, if you do not pay, or if we are required to.

After termination we will delete your data on request. See the retention section of the privacy policy for what that means in practice today.

10. Disclaimers and liability

Beyond what this agreement says, the service is provided as it is, without other warranties. We do not promise it will be uninterrupted or error-free, or that it will suit a particular purpose.

To the extent the law allows, neither side is liable for indirect, incidental or consequential losses, including lost profits, lost revenue or lost business, and our total liability is limited to what you paid us in the twelve months before the claim.

Nothing here excludes liability that cannot legally be excluded. If you are a consumer somewhere with stronger statutory rights, those rights still apply and this section does not cut them down.

11. Changes to these terms

We may update these terms. For material changes we will give notice before they take effect, and continuing to use FluxDM after that means you accept the new version. If you do not, you can stop and we will refund any unused portion of a prepaid period.

12. Governing law

This agreement is governed by the laws of the State of Delaware, United States, and the courts there have jurisdiction, except where the law where you live gives you the right to bring a claim locally.
